Abstract
Corporate restructuring has become one of the principal instruments through which distressed firms seek to arrest decline, restore financial viability, and reposition themselves for renewed competitiveness. This article undertakes an analytical examination of corporate restructuring, situating it within the broader literature on organisational turnaround and distinguishing financial, operational, and organisational restructuring as related but analytically distinct responses to corporate distress. The article examines the causes of corporate decline, ranging from macroeconomic shocks and industry disruption to governance failure and managerial complacency, before evaluating the principal strategies available to distressed firms, including debt restructuring, divestiture, cost rationalisation, leadership change, and strategic refocusing. Particular attention is paid to the legal and regulatory architecture within which restructuring occurs, comparing the rehabilitation-oriented insolvency regime introduced by India's Insolvency and Bankruptcy Code, 2016 with the debtor in possession model available under Chapter 11 of the United States Bankruptcy Code, and considering how directors' duties shift as a company approaches the zone of insolvency. The article then examines documented corporate experience, including the turnarounds achieved at International Business Machines Corporation and Ford Motor Company, the government assisted bankruptcy reorganisation of General Motors and Chrysler, and the divergent post distress trajectories of Satyam Computer Services, Kingfisher Airlines, Essar Steel, and Jet Airways in India, in order to identify the conditions under which restructuring succeeds and the recurring reasons for its failure. The article concludes that successful restructuring depends less on the particular technical instrument chosen than on the credibility of leadership, the speed and decisiveness of execution, and the willingness of a firm to address the underlying strategic causes of distress rather than merely its financial symptoms.
