Abstract

Corporate governance encounters persistent challenges of opacity, agency costs, and stakeholder distrust. Blockchain technology offers immutability, decentralisation, and programmable execution. It provides a strong foundation to re-engineer governance processes around trust and transparency. This article primarily examines the application of blockchain in shareholding records, proxy voting, board resolutions, and related-party disclosures, while evaluating the legal enforceability of smart contracts and the status of decentralised autonomous organisations (DAOs) under Indian law. Drawing on international practice and empirical insights, it ultimately identifies critical regulatory gaps and proposes targeted reforms to enable responsible integration of blockchain technology into India's corporate governance ecosystem.
