Abstract

A prospectus is the instrument through which a company speaks to the investing public, and the law attaches liability to what it says and what it leaves out. This paper examines the civil, criminal and regulatory consequences of a misstatement in a prospectus under Chapter III of the Companies Act 2013, read with the securities-law regime that governs public issues. It traces the common-law foundations of the disclosure duty, analyses the statutory test of misstatement, identifies the persons exposed and the defences available, and evaluates the framework against developments to October 2026: the Corporate Laws (Amendment) Bill 2026, the SEBI (ICDR) (Amendment) Regulations 2026, recent SEBI enforcement and the United Kingdom’s new public offers regime. It argues that Indian law is robust against deliberate fraud but thin on negligent misstatement, secondary-market purchasers and intermediary liability, and proposes targeted reforms.
