Abstract

The Supreme Court’s decision in *ArcelorMittal India Pvt. Ltd. v. Satish Kumar Gupta* (2019) represents a significant judicial interpretation of Section 29A of the Insolvency and Bankruptcy Code, 2016, particularly concerning the eligibility of resolution applicants and the prevention of defaulting promoters’ indirect participation in corporate insolvency resolution. This case commentary examines the factual circumstances surrounding the competing resolution plans submitted by ArcelorMittal India Pvt. Ltd. and Numetal Limited for Essar Steel India Limited, alongside the legal questions arising from their disqualification. It analyses the Court’s interpretation of the relevant stage for determining eligibility, the distinction between positive and negative control, and the application of corporate veil piercing to identify persons exercising actual control. Further, it evaluates the statutory boundaries separating the administrative functions of the Resolution Professional from the commercial decision-making authority of the Committee of Creditors. The commentary also considers the mandatory timelines prescribed under Section 12 and the exclusion of periods consumed in judicial proceedings. Particular attention is devoted to the Court’s exercise of extraordinary powers under Article 142, granting a limited opportunity to cure disqualification despite its strict interpretation of Section 29A(c). Through critical examination, the commentary highlights the judgment’s contribution to preventing circumvention of statutory eligibility requirements while identifying the tension between strict legislative compliance and equitable judicial intervention. Ultimately, it underscores the decision’s significance in strengthening corporate insolvency governance, preserving procedural efficiency, and advancing the objectives of timely resolution and asset value maximisation under the Code.
