Abstract

The Companies Act, 2013 is a significant piece of legislation governing the formation, management and regulation of companies in India. It replaced the Companies Act, 1956, introducing modern provisions to promote transparency, accountability and good corporate governance. This paper examines the Act’s key provisions, including company incorporation, separate legal identity, the Memorandum and Articles of Association, share capital, directors’ duties, financial reporting, auditing and corporate social responsibility. It also discusses shareholder protection, regulatory compliance and company winding-up procedures. Overall, the Act aims to balance corporate growth with stakeholder interests, ethical business practices and social responsibility, strengthening trust in India’s corporate sector.
