Abstract

This case commentary looks at the Supreme Court’s landmark decision in Sahara India Real Estate Corporation Ltd. v. Securities and Exchange Board of India, (2013) 1 SCC 1, and it kind of, yes, really strengthened India’s securities regulatory structure. Here, the focus is on how the Court read the idea of a public issue, also SEBI’s jurisdiction over unlisted public companies, and on this broader point that the substance of what happens matters more than the form. The piece then goes on to assess how the ruling affects investor protection, the way corporate fundraising gets done, and the overall shape of securities regulation. It also points out how the judgment has a lasting presence, especially on the Companies Act, 2013 and India’s corporate governance system. Overall the decision is still treated as a cornerstone of Indian corporate law, keeping in mind SEBI’s wide regulatory powers, and showing the judiciary’s ongoing commitment to guarding investor interests.
