Abstract

The Foreign Exchange Management Act, 1999 (FEMA) marked a fundamental shift in India's foreign exchange regulatory framework by replacing the restrictive Foreign Exchange Regulation Act, 1973 (FERA) with a management-oriented regime designed to facilitate external trade and payments while maintaining the orderly development of the foreign exchange market. This paper examines the evolution, legal framework, institutional structure, and contemporary challenges associated with FEMA. It analyses key provisions concerning foreign exchange transactions, current and capital account transactions, authorised persons, and enforcement mechanisms, with particular emphasis on the role of the Reserve Bank of India in implementing the regulatory framework. The study also examines the transition from criminal liability under FERA to the primarily civil enforcement mechanism under FEMA and considers judicial interpretation concerning the facilitative character of the legislation. Further, it evaluates emerging challenges arising from digital assets, cross-border investments, digital commerce, technological innovation, geopolitical developments, and evolving international financial standards. The paper finds that FEMA has provided a relatively flexible framework capable of supporting India's growing integration with the global financial system while safeguarding financial stability. However, its continued effectiveness depends upon regulatory adaptability, institutional coordination, technological integration, and continuous policy refinement.
