Abstract

The Indian Partnership Act, 1932, is a colonial legacy that still governs one of the most common types of business organization in India. While the Act is known for its flexibility in forming partnerships, it also contains a system that has caused significant legal confusion and disputes for nearly a century. This system involves optional registration, which comes with serious civil penalties for non-compliance, as mentioned in Section 69 of the Partnership Act. Registration Paradox occurs when the law says registration is not mandatory but makes it difficult for an unregistered firm to operate effectively in the business world. The judicial reasoning has evolved from the strict literalism of the 1950s to the more purposeful interpretation seen in significant cases like Haldiram Bhujiawala and Umesh Goel.
